Indemnification means that you will hold AdMedia blameless.

Your Submitted Material

AdMedia is not able to guarantee inclusive confidentiality of any questions you might pose, suggestions you give, comments submitted, ideas given, drawings shared, plans formed, original materials offered or other data, you decide to provide via email or other submission process to AdMedia, and that includes other possible postings to our website. Once submitted, these materials will become property of AdMedia and you forfeit your right to afore mentioned materials. AdMedia can then use those materials for any purpose, without notification or payment.

AdMedia Limitations of Liability

ADMEDIA, ITS ASSOCIATES, OR PARTY INVOLVED CAN BE HELD LIABLE FOR ANY DAMAGES STEMMMING FROM OR IN CONNECTION TO USAGE OR THE PREVENTION OF USE, OF ADMEDIA WEBSITES OR ANY CONTENT ON THE SITE, OR ANY CONSEQUENCES WHICH OCCURRED FROM UNAUTHORIZED ACCESS OF OR ADJUSTMENTS MADE TO YOUR DATA ENTRIES, OR DATA THAT HAS BEEN TRASNMITTED OR TAKEN. THIS INCLUDES DAMAGES FOR A LOSS OF USE, PROFIT, INFORMATION OR OTHER TYPE OF LOSS. NOTE THAT CERTAIN JURISDICTIONS FORBID LIMITATING OR EXCLUDING LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. THIS MEANS THAT PARTS OF THIS LIMITATION ON LIABILITY AGREEMENT COULD POSSIBLY NOT APPLY.

Legal Obligations

All that has been contained in these Terms of Service are governed by and are in accordance with the laws of the State of California, without resort to its conflict of law provisions. In the event that you take legal action relating to these Terms of Service, you must file your complaint with the Superior Court of Los Angeles County, California or the United States District Court for the Northern District of California.

Payment

Before you access the Service, AdMedia will charge the credit card you provided in the Login an initial payment in the amount you request, but no less than $5,000 (USD) (“Initial Payment”). Upon confirmation of your Initial Payment, AdMedia will provide you with access to the Service. You agree to compensate AdMedia for all impressions, conversions, clicks or other actions (collectively, “Actions”) generated by the Service (“Payment”). Your Payment is based solely on AdMedia’s measurement of Actions for the applicable Advertising Product, unless otherwise agreed to between the parties in writing. You authorize AdMedia to receive Payment by credit card for each subsequent 30 day period based upon the Actions recognized by AdMedia and the parameters you request in the Login (“Recurring Payment”). You agree that no additional notice or consent is required before AdMedia charges your credit card for each Recurring Payment. The Initial Payment is non-refundable. You will promptly notify AdMedia in writing of any change in your information provided in the Login at support@admedia.com. Late Payments bear interest at the rate of 1.5% per month or the highest rate permitted by law, if less. You agree to reimburse AdMedia for all collection costs associated with your account. In AdMedia’s sole discretion, it may provide you with a refund. Refunds will only be provided in the form of a credit to be used to offset a future Recurring Payment. All payments pursuant to this Agreement shall be in United States Dollars.

Advertising Agencies

If you are an advertising agency or any other entity representing an advertiser (“Ad Agency”), this Section applies, and in such case, in the Agreement, “you” and “your” means Ad Agency together with the advertiser. An “advertiser” mean entities which are enrolled in the Service by you. Ad Agency represents and warrants that: (a) it is the authorized agent of advertiser and has the legal authority to enter into this Agreement on behalf of the advertiser; and (b) Ad Agency, by enrolling the advertiser in the Service, the advertiser is also entering into the Agreement with AdMedia. Without limiting any provision in the Agreement, Ad Agency and advertiser shall be jointly and severally liable for all payment obligations, you hereby waive any obligation that may require AdMedia to proceed against one or more of you prior to proceeding against any others who may also be liable.

AdMedia Termination Rules

AdMedia can terminate your account and/or your use of the AdMedia website. AdMedia has the right to do so without prior notice and at our sole discretion. It may be necessary to prevent your future access to AdMedia websites. We have the option to discontinue or alter your website usage or services provided to you, at our discretion.

Exceptions to AdMedia Terms of Service

In the event that something is found unlawful, that part of these terms of service will become void and removed from the AdMedia policy. However, all other aspects of these Terms of Service will remain intact and should continue to be followed by all users. Any waiver of a condition given or right granted by AdMedia won’t be honored, unless written in a document. Whoever wishes to waive a condition must personally write and sign the document.
